Andrew Falevich is a tax lawyer who advises on domestic and cross-border mergers and acquisitions, corporate and partnership workouts and reorganizations, and real estate, partnership, limited liability and joint venture transactions.

Intently focused on client goals, Andrew develops creative tax strategies that help clients navigate complex transactions. He has significant experience with the tax aspects of equity and debt financings (including real estate financings) and leverages specialized structures such as S corporations, RICs and REITs to help minimize tax leakage.

Andrew’s practice includes advising on state and local tax matters, such as sales and real property transfer taxes. His clients include private equity firms and a cross-section of leading banking, transportation, health care, accounting, energy, technology and real estate entities. With a strong understanding of market norms and transaction dynamics, he provides practical tax guidance .

Separately, Andrew represents clients in audits and other tax controversies at federal, state and local levels.

Experience

  • Facilitated the acquisition of Cima Aviation, a prominent MRO company specializing in fuel and hydraulic component repairs for his client Jet Parts Engineering a leading provider of PMA parts, DER repairs and MRO services for commercial aircraft. This strategic move further strengthens JPE’s ability to offer comprehensive aftermarket solutions to its global network of commercial, cargo, regional and military aircraft customers.
  • Handled the mergers of Tortoise Pipeline & Energy Fund, Inc. (TTP), Tortoise Energy Independence Fund, Inc. (NDP) and Tortoise Power and Energy Infrastructure Fund, Inc. (TPZ) with and into a wholly owned subsidiary of Tortoise Power and Energy Infrastructure Fund, a series of Tortoise Capital Series Trust and a newly formed exchange-traded fund. TTP, NDP and TPZ are closed-end funds that trade on the NYSE. As a result of the merger, each merged fund was converted into an actively managed exchange-traded fund.
  • Helped Castle Harlan, a New York-based private equity firm, in its investment in Alumni Educational Solutions, an Ontario-based manufacturer and distributor of educational furniture for preschool, K-12 and higher education classrooms across North America.
  • Facilitated market-expanding investment by The Edgewater Funds in Nationwide Coils, Inc., a distributor of custom heating, ventilation and air conditioning (HVAC) replacement coils and heat exchangers for commercial and industrial facilities. This investment represents the launch of a new platform for The Edgewater Funds focused on the HVAC and refrigeration replacement coil and heat exchanger industry.
  • Led acquisition by Crane 1, a portfolio company of L Squared Capital Partners, of Standard Crane & Hoist LLC, a leading service and equipment provider of overhead crane inspections, repairs and maintenance, parts and new crane sales.
